1. Acceptance of these Terms

By accessing or using VidiRelay on or after July 31, 2026, you agree to these Terms of Service and any policies referenced in them, including the Refund Policy. If you do not agree, do not use the service.

These terms apply to VidiRelay as an independent consumer video transcription and content-production workspace. They govern your use of the website, account features, transcript tools, editing tools, exports, share links, credit purchases, and optional writing actions made available through the service.

    2. Eligibility and account registration

    You may use VidiRelay only if you can form a binding agreement under the law that applies to you. If you use VidiRelay on behalf of another person or organization, you are responsible for having authority to do so and for ensuring that use complies with these terms.

    You may create an account using supported sign-in methods, including Google sign-in where offered. You must provide accurate account information and keep it reasonably up to date so we can operate your account, process purchases, and communicate with you about service or billing matters.

    • You are responsible for activity that occurs through your account.
    • You must not share access in a way that compromises account security.
    • You should contact VidiRelay promptly if you believe your account has been accessed without permission.

    3. Google sign-in and account security

    If you choose Google OAuth sign-in, VidiRelay receives limited account information from Google, specifically your verified email address, display name, and profile image. VidiRelay does not receive your Google password.

    You are responsible for maintaining the confidentiality of your login credentials and for using secure devices and networks. VidiRelay may rely on instructions and actions taken through your authenticated account unless and until you notify us of a security issue.

    • Use a strong password for any linked email account.
    • Sign out from shared devices.
    • Review your account history and saved content regularly.

    4. Supported sources and service scope

    VidiRelay accepts supported public TikTok, Instagram, YouTube, and Facebook URLs, plus user-uploaded audio, video, text, and subtitle files. The service is designed to help you generate, edit, organize, compare, share, and export transcript-related content within the features made available at the time of use.

    VidiRelay does not bypass private accounts, login gates, platform protections, removed media, or regional restrictions. If a source is unavailable because of platform settings, access controls, deletion, or geographic limits, VidiRelay may be unable to process it.

    • Supported exports include TXT, SRT, VTT, CSV, JSON, and DOCX.
    • Available workspace features may include timestamped segment editing, search and replace, folders, favorites, history, transcript comparison, and read-only share links.

    5. Your content and your rights

    You retain your rights in the content you submit to VidiRelay, including uploaded files, source URLs you provide, transcript edits, notes, and exported materials, subject to any rights held by the original platform, creator, or other third party. You are responsible for making sure you have the rights, permissions, or lawful basis needed to submit and use that content.

    To operate the service for you, you grant VidiRelay a limited, non-exclusive right to host, process, transmit, store, format, and display your submitted content and resulting outputs as needed to provide the features you request. This permission is limited to operating, maintaining, securing, and improving the service experience for your account and does not transfer ownership of your content to VidiRelay.

    • Do not submit content if you do not have the right to use it.
    • You remain responsible for the legality, accuracy, and consequences of your submitted content and edits.

    6. Permitted use

    You may use VidiRelay for lawful personal, educational, editorial, research, and business workflows that are consistent with these terms and with the rights of others. Typical uses include creating transcripts from supported public URLs or uploaded media, editing timestamped segments, organizing transcript history, comparing versions, and exporting files in supported formats.

    You may also create read-only share links for collaboration or review, understanding that anyone with the link can open it until you revoke access. You should use share links carefully and only for content you are comfortable making available to link holders.

    • Review transcripts before publishing or relying on them.
    • Use exports and share links in a way that respects privacy, copyright, and platform rules.
    • Keep your own backup copies of important work.

    7. Prohibited use

    You must not use VidiRelay to violate law, infringe intellectual property or privacy rights, or interfere with the service or other users. You must not attempt to access content that is private, restricted, removed, or otherwise unavailable through supported public access.

    You also must not use the service to scrape, harvest, or republish content in a way that violates platform terms or the rights of creators, nor may you use the service to distribute malware, spam, deceptive material, or unlawful content. Automated abuse, account sharing intended to evade limits, and attempts to reverse engineer or disrupt the service are prohibited.

    • No bypassing login gates, private accounts, platform protections, removed media, or regional restrictions.
    • No unlawful surveillance, impersonation, fraud, or deceptive use of transcripts or exports.
    • No interference with payment systems, credit records, or service security controls.

    8. Transcripts, generated output, and review responsibility

    VidiRelay produces transcript text and related outputs based on the source material you submit or link. Transcript quality can vary because source audio, speech overlap, accents, background noise, source availability, and platform limitations can affect results. You are responsible for reviewing transcript text, timestamps, speaker references, and exports before using them for publication, compliance, accessibility, research, or business decisions.

    The service may let you edit timestamped transcript segments, run search and replace, compare transcripts, and export in multiple formats. Those tools are intended to help you refine output, but they do not replace your own review. VidiRelay does not promise that transcripts or generated outputs will be complete, error-free, or suitable for every purpose.

    • Check names, numbers, dates, and technical terms carefully.
    • Confirm timing and subtitle formatting before distribution.
    • Do not treat generated output as legal, medical, financial, or other professional advice.

    9. Uploads, storage, retention, and share links

    When you upload files or submit source URLs, VidiRelay stores and processes material needed to provide your workspace features, including transcript history, folders, favorites, comparisons, and exports. Because the service includes account-based organization features, you should assume that submitted content and outputs may remain available in your workspace until you delete them, your account is closed, or retention practices change.

    Read-only share links can be opened by anyone who has the link until you revoke it. You are responsible for deciding whether to create a share link and for revoking it when access is no longer appropriate. Avoid sharing links to sensitive or confidential material unless you are comfortable with the risks of link-based access.

    • Do not upload content you are not authorized to store or share.
    • Revoke share links when collaboration ends or access should stop.
    • Keep local copies of important files and exports.

    10. Credits, purchases, and expiration

    Certain VidiRelay features are credit-based. Credits are consumed only when transcript text is produced successfully. Failed jobs consume no credits. You can review your available credits and related records in your account where those features are provided.

    Paid credits expire 12 months after purchase unless applicable law requires otherwise. It is your responsibility to use purchased credits before expiration. Promotional, bonus, or other non-purchased credits, if offered, may be subject to separate conditions presented at the time they are issued.

    • A successful transcript result triggers credit consumption.
    • A failed transcript job does not consume credits.
    • Expiration rules may be limited by mandatory consumer rights that apply to you.

    11. Billing and Stripe payment processing

    Card payments are processed by Stripe. VidiRelay stores payment references and credit records needed to manage purchases, refunds, and account history, but does not store full card numbers. By making a purchase, you authorize the charge for the amount shown at checkout using the payment method you select.

    You are responsible for providing accurate billing information and for reviewing your order details before purchase. If you believe you were charged twice or charged the wrong amount, contact VidiRelay promptly so the issue can be reviewed under the Refund Policy.

    • Prices and available credit packs may change over time.
    • Taxes or similar charges may apply where required.
    • Refund handling is governed by the Refund Policy and any mandatory rights that apply under local law.

    12. Optional AI writing actions

    VidiRelay may offer optional AgentsFlare-compatible writing actions that use transcript text after you start a content action. These writing actions are optional. Core transcription, editing, organization, comparison, share-link, and export features do not depend on using them.

    If you choose to start a writing action, transcript text relevant to that action is sent for that purpose. You remain responsible for reviewing any resulting drafts, summaries, titles, descriptions, or other generated text before using or publishing it. VidiRelay is not affiliated with or endorsed by AgentsFlare.

    • Writing actions start only after you initiate them.
    • Only transcript text is sent for the writing action described.
    • Review generated writing for accuracy, tone, rights clearance, and suitability.

    13. Intellectual property and third-party platforms

    VidiRelay and its service design, software, branding, and site content are protected by intellectual property laws. Except for the limited rights needed to use the service as provided, these terms do not give you ownership of VidiRelay technology or branding.

    Third-party platforms and services remain subject to their own terms and policies. VidiRelay is not affiliated with or endorsed by TikTok, Meta, Instagram, YouTube, Facebook, Google, Stripe, or AgentsFlare. Your use of content originating from those platforms may be governed by their rules and by the rights of creators and other third parties.

    • Do not copy, resell, or exploit VidiRelay technology except as allowed by law or written permission.
    • Respect platform terms, creator rights, and applicable copyright and privacy laws.
    • Brand names of third parties remain the property of their respective owners.

    14. Service changes, suspension, and account closure

    VidiRelay may add, remove, or modify features, supported sources, limits, or workflows from time to time. This may happen for operational, legal, security, or product reasons. We may also suspend or restrict access if reasonably necessary to protect the service, investigate misuse, address legal risk, or respond to repeated violations of these terms.

    You may stop using the service at any time. VidiRelay may close or suspend accounts for serious or repeated misuse, fraudulent payment activity, abuse of refunds or chargebacks, unlawful conduct, or actions that threaten the service or others. Where appropriate, issues may be resolved by contacting support and providing clarifying information.

    • Feature availability can change without guaranteeing continued support for every source or format.
    • Suspension may be temporary or permanent depending on the issue.
    • Account closure does not automatically create a refund right beyond the Refund Policy or mandatory law.

    15. Disclaimers, liability limits, indemnity, and consumer rights

    VidiRelay is provided on an as-available basis to the extent permitted by law. This means features, source availability, transcript results, exports, and integrations may change or may not always be available. VidiRelay does not guarantee uninterrupted service, perfect transcript accuracy, compatibility with every file or platform variation, or suitability for a particular purpose.

    To the extent permitted by law, VidiRelay is not responsible for indirect, incidental, special, consequential, exemplary, or punitive losses, or for loss of profits, revenue, goodwill, data, or business opportunity arising from your use of the service. To the extent permitted by law, VidiRelay's total liability for claims relating to the service will not exceed the amount you paid to VidiRelay for the specific credit pack or paid service directly giving rise to the claim during the 12 months before the event, or if you paid nothing, a reasonable minimum amount required by applicable law.

    If your use of VidiRelay, your content, or your violation of these terms causes claims or costs for VidiRelay, you agree to be responsible for those losses to the extent permitted by law. In plain language, this means if you upload or share content you had no right to use, break the rules, or misuse the service and that leads to a legal claim or expense, you may have to cover the resulting costs. Nothing in these terms limits mandatory consumer rights or excludes liability that cannot legally be excluded or limited where you live.

    • Mandatory consumer protections still apply where local law gives you them.
    • Some places do not allow certain disclaimers or liability limits, so parts of this section may not apply to you.
    • You should keep your own records and backups and review outputs before relying on them.

    16. Changes to these terms and contact

    VidiRelay may update these Terms of Service from time to time. When that happens, the updated version will be posted with a new effective date. If a change is material, reasonable notice may be provided through the service or by email where appropriate. Your continued use of VidiRelay after the updated terms take effect means you accept the revised terms, except to the extent local law requires a different process.

    If you have questions about these terms, billing, refunds, account access, or consumer rights, contact VidiRelay through the support or contact method made available in the service. When contacting support, include enough detail for the issue to be identified, such as your account email, purchase date, payment reference if relevant, and the affected transcript or source URL.
